Hairy Tales Pet Food Platform Terms of Use and Purchase Agreement

Chapter 1: General Provisions

1.1 These Terms of Use and Purchase Agreement (hereinafter referred to as the "Agreement") apply to all users accessing and using the official Hairy Tales e-commerce platform (hereinafter referred to as the "Platform"). The Platform is owned and operated by Hairy Tales (hereinafter referred to as "we," "us," or "our"), with its registered address at 19 Holden Street, Darfield, Canterbury, New Zealand.  

1.2 Before using the Platform, please read all terms of this Agreement carefully. Any access, browsing, or use of the Platform constitutes your acknowledgment that you have read, understood, and agreed to be bound by all terms herein. If you do not agree with any part of this Agreement, you must immediately cease using the Platform.  

1.3 We reserve the right to modify or update the terms of this Agreement at any time. The revised Agreement shall take effect immediately upon publication on the Platform. You are responsible for regularly reviewing the latest version of the Agreement, and continued use of the Platform signifies your acceptance of the amended terms.  

Chapter 2: User Registration and Account Management

2.1 To access the full functionality of the Platform, you may need to register as a member. During registration, you must provide accurate, complete, and current personal information, including but not limited to your name, contact details, and shipping address. We shall not be liable for any losses arising from inaccurate or incomplete information provided by you.  

2.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must immediately notify us of any unauthorized use of your account. We shall not be liable for any losses resulting from your failure to safeguard your account information.  

2.3 We reserve the right, at our sole discretion and without prior notice, to suspend or terminate your account or restrict your access to the Platform if we have reasonable grounds to believe you have violated any terms of this Agreement.  

Chapter 3: Products and Orders

3.1 Product Descriptions and Quality Assurance:

3.1.1 All Hairy Tales products displayed on the Platform are made from premium ingredients and manufactured in MPI-certified facilities in New Zealand, complying with stringent food safety standards.  

3.1.2 All products are guaranteed to have a minimum shelf life of six (6) months from the date of purchase. Products with a shelf life of less than six (6) months but no less than three (3) months ("short-dated products") will be clearly labeled as such in a prominent location on the product page.  

3.1.3 While we make every effort to ensure the accuracy of product descriptions, slight variations in color may occur due to differences in electronic display devices.  

3.2 Ordering Process:

3.2.1 You may browse, select, and place orders for products through the Platform. All orders are subject to our confirmation before becoming binding.  

3.2.2 We reserve the right to refuse or cancel any order, including but not limited to cases of product unavailability, pricing errors, or suspected fraudulent activity.  

3.2.3 Product prices are subject to change without notice. The final price shall be the price displayed at the time of your order confirmation. Confirmed order prices are not affected by subsequent price adjustments.  

Chapter 4: Intellectual Property Protection

4.1 All content on the Platform, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Hairy Tales or its content suppliers and is protected by international copyright and intellectual property laws.  

4.2 Without our express written permission, you may not:  

4.2.1 Copy, modify, distribute, publicly display or perform, transfer, sell, or license any content from the Platform;  

4.2.2 Use any Platform content to create derivative works;  

4.2.3 Use data mining, robots, or similar data-gathering and extraction tools.  

Chapter 5: Limitation of Liability and Disclaimer

5.1 To the fullest extent permitted by law, we shall not be liable for:  

5.1.1 Platform service interruptions or order delays caused by force majeure events (e.g., natural disasters, war, cyberattacks, government actions);  

5.1.2 Content or services linked to third-party websites;  

5.1.3 Any direct, indirect, incidental, special, or consequential losses arising from your breach of this Agreement.  

5.2 In no event shall our total liability to you (whether in contract, tort, or otherwise) exceed the amount actually paid by you for the relevant order.  

Chapter 6: User Conduct  

6.1 You agree to comply with all applicable laws and regulations when using the Platform and undertake not to engage in the following activities:  

6.1.1 Uploading or disseminating any illegal, defamatory, abusive, threatening, harassing, obscene, or otherwise objectionable content;  

6.1.2 Disrupting or interfering with the normal operation of the Platform;  

6.1.3 Unauthorized access to other users' accounts or any Platform systems;  

6.1.4 Conducting any form of commercial advertising or solicitation.  

Chapter 7: Dispute Resolution 

7.1 Any disputes arising from this Agreement shall first be resolved through amicable negotiations. If no resolution is reached, either party may submit the dispute to the New Zealand Dispute Tribunal for arbitration in Christchurch, New Zealand, in accordance with its then-current arbitration rules.  

7.2 The arbitral award shall be final and binding on both parties. Arbitration costs shall be borne by the losing party unless otherwise determined by the tribunal.  

Chapter 8: Promotional Terms

8.1 New Customer Offer:

8.1.1 First-time registrants who subscribe to our emails are eligible for a 20% discount on their initial order;  

8.1.2 This offer is valid for one-time use only and cannot be combined with other promotions;  

8.1.3 We reserve the right to modify or terminate this offer at any time.  

8.2 Flash Sales:

8.2.1 Selected products may be subject to limited-time discounts, with specific terms outlined on the promotional page;  

8.2.2 Promotional items are available in limited quantities and subject to stock availability.  

8.3 Gift Policy:

8.3.1 Eligible orders may receive designated complimentary gifts;  

8.3.2 Gifts are non-exchangeable for cash and non-refundable;  

8.3.3 If a gift is out of stock, we reserve the right to substitute it with a product of equivalent value.  

Chapter 9: Miscellaneous

9.1 This Agreement constitutes the entire agreement between you and us regarding the use of the Platform, superseding all prior oral or written agreements.  

9.2 Our failure to enforce any provision of this Agreement shall not constitute a waiver of such provision.  

9.3 If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.  

9.4 This Agreement shall be governed by and construed in accordance with the laws of New Zealand.
